Schedule: Hybrid; Primarily Onsite; Full-time; Billable hours required (target range not specified)

A leading international law firm recognized for its expansive global presence and commitment to innovation and inclusivity. The firm continues to expand strategically across core markets. This role is open to support growing client demand within the Charleston offices Corporate M&A team.


Description:

Join a forward-thinking M&A practice that emphasizes client service and professional growth. This midlevel associate role provides the opportunity to take ownership of complex domestic and cross-border transactions while being mentored by seasoned M&A and private equity partners. Core responsibilities will include drafting and negotiating transactional documents such as merger and acquisition agreements, conducting diligence reviews, managing deal closings, and advising clients on corporate governance and structuring matters. The ideal candidate will be trusted to lead critical components of deals and interface directly with clients. Long-term, the position offers a clear pathway to partnership or leadership roles within the firms M&A practice.


Qualifications:

  • 35 years experience in Corporate M&A required.
  • Private equity transactional experience strongly preferred.
  • Proficient in drafting/negotiating merger, stock, and asset purchase agreements.
  • Familiar with partnership, joint venture, and LLC operating agreements.
  • Demonstrated ability to manage and close M&A transactions.
  • Skilled in conducting legal due diligence and producing analysis reports.
  • Comfortable advising clients on general corporate governance issues.
  • Must work well both independently and collaboratively within a team.
  • Strong academic credentials and exceptional written/verbal communication required.
  • Demonstrated commitment to client service and business development.
