Job Overview: OSP is seeking a highly motivated paralegal with expertise in corporate governance, transactions, and compliance. The ideal candidate will have excellent organizational skills, the ability to work independently with limited supervision, and the ability to adapt to changing priorities. The individual placed in this role will be responsible for managing various legal tasks and providing support to the General Counsel.


Key Responsibilities:

  • Corporate Governance:
    • Support the formation and maintenance of legal entities, including preparing organizational documents, resolutions, and filings.
    • Coordinate corporate registrations and ensure compliance with annual reporting requirements.
    • Assist in preparing Board meeting agendas, minutes, and authorizing resolutions.
  • Compliance:
    • Assist with state and federal filings related to energy regulations, licensing, and compliance reporting.
    • Monitor regulatory deadlines and ensure timely submissions.
    • Manage company licenses across multiple jurisdictions.
  • Transaction Support:
    • Assist in drafting, reviewing, and organizing documentation related to commercial transactions, including M&A, joint ventures, and project finance (e.g., tax equity, debt, and leaseback structures).
    • Perform legal due diligence for acquisitions, divestitures, and other corporate transactions.
    • Support the General Counsel in closings and the assembly of legal documents and closing binders.
    • Conduct title and survey reviews; assist in drafting and negotiating easements, leases, purchase agreements, and related real estate documents.
  • Document and Contract Management:
    • Draft and review contracts, amendments, and related documents.
    • Manage and maintain legal file and legal document tracking systems.
    • Coordinate document execution, notarization, and electronic filing with state agencies or commercial services.

Qualifications:

  • 10+ years of experience as a paralegal or in a similar role.
  • Notary certification.
  • Experience in the energy industry is preferred.

Skills:

  • Demonstrated technical expertise in utilizing Microsoft Office Suite products, Adobe Acrobat, PDF editing tools, and other relevant types of software.
  • Ability to effectively manage multiple tasks in a time-efficient manner.
  • Ability to work independently with minimal direction and supervision.
  • Strong problem-solving and analytical skills.
  • Process driven with meticulous attention to detail.
  • Excellent communication (oral and written) and interpersonal skills.
  • Demonstrates the desire to learn, be inquisitive, and work collaboratively with internal teams.
